That responsibility shapes how we work. This Code sets out the standards we hold ourselves to: honesty, integrity, and respect for the law and for the people and institutions that place their trust in us: customers, end users, investors and partners, public bodies, and the colleagues beside us. Crìa is a global company, international in its team, its partners and the people it ultimately serves, and these standards travel with us unchanged, into every market and every relationship. The Code applies to every one of us, without exception, and we commit to holding ourselves to it first.
Crìa Technologies develops and supplies high-vacuum, passively insulated containers for the temperature-controlled transport of high-value, temperature-sensitive materials. Much of what our products carry is unique and cannot be replaced. We operate in regulated, mission-critical markets where trust, integrity and reliability are essential. This Code sets out the principles and standards of behaviour that everyone acting on behalf of Crìa is expected to uphold.
It applies to all directors, officers, employees, interns and collaborators of Crìa, globally. We also expect our suppliers, distributors, agents, consultants and other business partners to act consistently with these principles. The Code complements, and does not replace, applicable laws and the Company's internal policies; where local law sets a higher standard, the higher standard prevails.
Crìa is committed to conducting its business honestly, lawfully and with integrity. Our conduct is guided by five core values, CRIAS:

Crìa conducts its business in full compliance with the laws and regulations applicable to its activities, including anti-corruption laws, competition law, export-control and customs rules, data-protection rules, the product, safety and transport regulations relevant to our products, and applicable tax and corporate obligations. No business objective, commercial pressure or instruction from a superior justifies a violation of the law or of this Code.
Crìa applies a zero-tolerance approach to bribery and corruption in any form. We prohibit offering, promising, giving, requesting, accepting or receiving any undue advantage (money, gifts, favours or anything else of value) to improperly influence a decision, obtain or retain business, or secure any improper advantage.
This applies to public- and private-sector dealings alike, to active and passive conduct, and whether direct or indirect, including through intermediaries, agents or other third parties. Facilitation payments are likewise prohibited, regardless of local practice. Anyone who is offered a bribe, or asked to pay or receive one, must refuse and report it through the channels in section 13.
Modest gifts and hospitality can be a legitimate part of building business relationships, but they must never be used, or capable of being perceived as being used, to improperly influence a decision. Anything offered or received must be reasonable and proportionate, infrequent, transparent, lawful, and consistent with normal business courtesy.
Cash or cash-equivalents (such as vouchers) must never be offered or accepted. Particular caution applies to any gift or hospitality involving public officials. When in doubt, decline and seek guidance.
A conflict of interest arises when personal interests ( financial, family or otherwise) interfere, or appear to interfere, with the interests of Crìa or the impartial performance of one's duties. Everyone must avoid actual, potential or perceived conflicts, and must promptly disclose any such situation so it can be managed appropriately. Decisions on behalf of the Company must be made in its best interest and on objective grounds.
Our relations with public administrations, regulators, certification bodies, grant authorities and other public institutions are conducted with transparency, honesty and full respect for applicable rules. Information provided to public authorities (including for grants, public funding, tenders, certifications and regulatory filings) must be accurate, complete and not misleading. Public funds and incentives must be used strictly for their intended purpose and accounted for correctly.
Crìa competes on the merits of its technology, products and services. We comply with competition and antitrust laws and do not engage in anti-competitive agreements, abuse of market position, or the improper acquisition of competitors' confidential information.
We hold ourselves to honesty in how we describe what we do. Performance claims (including hold-time, payload capacity and thermal performance) must be supported by testing and verifiable data, accurately stated with their baseline and conditions, and never exaggerated. We do not make up figures, and we caveat preliminary or third-party data accordingly. The same standard applies to our scientific, regulatory and commercial communications.
Crìa maintains accurate and complete books, records and accounts that fairly reflect its transactions. Information provided to investors, banks, public grant and funding authorities and business partners must be accurate, consistent across documents, and not misleading. No undisclosed or unrecorded funds, accounts or assets are permitted, and no false, misleading or artificial entry may be made. We are committed to preventing money laundering and the financing of illicit activities, and we take appropriate care to know our counterparties and verify that funds and transactions have a legitimate origin and purpose.
Crìa's competitive position rests on its proprietary high-vacuum, multilayer-insulation technology and the know-how behind it. Everyone must protect the Company's confidential and proprietary information and intellectual property, and must equally respect the confidential information and IP rights of third parties. Personal data is processed lawfully, fairly and securely, in accordance with applicable data-protection legislation.
Crìa is committed to a safe and healthy working environment and complies with applicable occupational health-and-safety rules, a particular priority given our work with high-vacuum systems and cryogenic materials. We respect internationally recognised human rights, prohibit forced and child labour, and provide fair working conditions. We are committed to equal opportunity and to a workplace free from discrimination, harassment and retaliation, regardless of gender, age, origin, religion, disability, sexual orientation or any other protected characteristic.
We seek to work with business partners who share our commitment to lawful and ethical conduct. We expect our suppliers, distributors, agents and other partners to comply with applicable laws, including anti-corruption laws, and to act consistently with this Code. Crìa applies reasonable care in selecting and engaging third parties, and reserves the right to take appropriate action where a partner's conduct is incompatible with these principles.
Everyone is encouraged to ask questions and to report, in good faith, any conduct that may breach this Code, applicable law or the Company's policies. Concerns can be raised with a member of the management team or sent to our dedicated channel.
Reports are handled confidentially, to the extent permitted by applicable law, and may be made anonymously where the channel allows. Crìa does not tolerate retaliation against anyone who raises a concern in good faith or participates in an investigation. Deliberately false or bad-faith reports, however, are not protected.
This Code is approved by the Company's management and made available to all personnel and, where appropriate, to business partners and the public. Compliance with the Code is a condition of working with and for Crìa, and breaches may lead to appropriate disciplinary or contractual measures, in accordance with applicable law. The Code is reviewed periodically and updated as the Company and its regulatory environment evolve.
